Terms and Conditions for Google Ad Manager Monetization

These Terms and Conditions ("Agreement") outline the terms under which publishers ("You", "Your") utilize our advertising monetization services (“Services”) powered by Google Ad Manager (AdX). By using our Services, you agree to comply with the following conditions.

1. Google Ad Policy and Invalid Activity

You agree to comply with all applicable Google Ad Manager and AdSense policies, including the policy on deductions from finalized earnings: https://support.google.com/adsense/answer/2808531?hl=en

Invalid activity includes, but is not limited to:

1. Artificially inflated clicks or impressions (manual or automated)
2. Use of VPNs, proxies, or bot-generated traffic
3. Unauthorized code manipulation of ad scripts
4. Traffic without clear and verifiable source attribution

Any such violations can result in revenue deductions, penalties, or permanent disablement of ad serving capabilities.

2. Payment and Withholding Rights

If Google withholds, reverses, or deducts payments to us due to issues related to your account or traffic, we reserve the right to withhold your earnings for a period of up to 90 days, or until:

1. Google confirms clean status for your account
2. Google releases the disputed or delayed payments

You agree that during this time, no revenue will be disbursed until we receive a formal clearance from Google.

3. 90-Day Account Holding and Access Restriction Policy

In cases where you:

1. Fail to provide verifiable traffic source data
2. Do not respond to compliance queries
3. Are under investigation for invalid activity or suspicious behavior

We reserve the right to:

1. Hold your account for a period of 90 days
2. Suspend your access to Google Ad Manager and AdX for this period

This is a preventive and investigational measure, not a permanent suspension. Access may be reinstated once you:

1. Provide satisfactory clarification
2. Receive a clean status from both our compliance team and Google

4. Penalties and Recovery of Losses

If we incur penalties, clawbacks, or account-level sanctions from Google due to activity attributed to your inventory:

1. We reserve the full right to deduct equivalent amounts from your pending or future earnings
2. You shall be liable to compensate us for any financial loss (including damage to our account reputation or credit)

This recovery may occur with or without prior notice.

5. Legal Governance

This Agreement shall be governed by and interpreted in accordance with the laws of the United States of America.

All disputes or legal actions related to these terms shall fall under the exclusive jurisdiction of U.S. courts.

You waive any jurisdictional objections or claims based on forum non conveniens.

6. Final Acknowledgment

By using our Services, you confirm that:

1. You accept all liability for traffic and ad behavior originating from your properties
2. You have read, understood, and agree to Google’s and our policies
3. You understand your earnings may be withheld or adjusted subject to compliance reviews
4. You accept our authority to suspend access and enforce penalties as outlined
